LAPOINTE AUTOMOBILES INC., doing business as Lapointe Chrysler (hereinafter the "Dealership," "we," "our," or "us"), welcomes you to its website, mobile applications, social media platforms, and any other digital platform operated by or on behalf of the Dealership (collectively, the "Site").
We invite you to carefully review these Terms of Use (the "Terms") before accessing the Site or using its content and services.
By accessing, browsing, or using the Site in any manner whatsoever, you acknowledge that you have read and understood these Terms and agree to be bound by them, as well as by the provisions of the Dealership's Privacy Policy (the "Policy"). Acceptance of these Terms does not constitute consent to the collection, use, or disclosure of your personal information; such consent is obtained separately, in accordance with the Policy and applicable law.
These Terms and the Policy constitute a legally binding agreement between you and the Dealership (collectively, the "Agreement"). This Agreement takes effect upon your first access to the Site and remains applicable for as long as you use it. The Dealership reserves the right to amend, update, or replace these Terms or the Policy at any time. Notice of any amendment will be posted on the Site, together with the date of the update. Any amendment resulting in a reduction of your rights will not take effect unless you have been given prior notice and your express consent has been obtained where required by law. Subject to the foregoing and applicable mandatory provisions, your continued use of the Site following the publication of such amendments constitutes your acceptance thereof. Where these Terms govern a consumer contract, any unilateral amendment will be made in accordance with the Consumer Protection Act, including the requirement to provide at least 30 days' prior written notice specifying the amended provision, the new provision, and your right to refuse the amendment and terminate the contract without fees or penalties.
If you do not agree to these Terms or the Policy, please immediately discontinue your use of the Site and do not access its content. It is your responsibility to periodically review the Terms and the Policy to stay informed of any amendments that may be made.
The Site is operated on behalf of the Dealership, with the support of Groupe Ouellet Inc. and technology partners, including D2C Media Inc., which act as service providers. The Dealership remains responsible for the content it publishes on the Site.
The Dealership is the merchant selling the vehicles, products, and services presented on the Site. It is a legal entity separate from Groupe Ouellet Inc. Its contact information is as follows: LAPOINTE AUTOMOBILES INC., 160 boul. Taché O, Montmagny, Québec G5V 3A5, Canada, telephone: 418-248-8899, permit no. 2110598-1.
Where the Site allows for the reservation of a vehicle or payment of a deposit, the contract is entered into with the Dealership.
Vehicles presented on the Site may also appear on the Groupe Ouellet network's collective platform (vehiculesgroupeouellet.ca), which is governed by its own terms of use.
Nothing in this section is intended to limit any rights granted to you by law, including your rights as a consumer.
We make no guarantee regarding the continued operation of the Site. We reserve the right to discontinue it at any time, at our sole discretion and without prior notice. We assume no responsibility for any damages or inconvenience that may result from the shutdown or interruption of the Site.
You may view the Site, subject to any restrictions and limitations expressly applicable to a particular element of the Site, make an electronic copy, download, and print certain portions of the various areas of the Site solely for your personal, non-commercial use.
Harassment in any form on the Site or through any of our interactive services, including the use of obscene or abusive language in chat areas or emails exchanged with our customer service department, is prohibited. Impersonating another person's name or identifier, including that of our employees, representatives, other members, or visitors to the Site, is prohibited.
You may not upload to, distribute, share, transmit, or otherwise publish on the Site any documents or messages that are defamatory, obscene, threatening, or abusive; that may infringe upon or harm another person's privacy, integrity, or reputation; that are otherwise objectionable; or that could constitute a violation of any law or encourage the commission of such an act. You may also not upload commercial messages to the Site or use the Site to solicit others to join another commercial online service.
Any contribution you publish on the Site, whether in forums, discussion areas, comments, or any other interactive page, including text, data, links, photographs, images, files, audio or video content, and any other information or content generated, transmitted, or shared by you (hereinafter a "Contribution"), must comply with these Terms and applicable laws and must respect the privacy, integrity, and reputation of others.
Without limiting the foregoing, you are expressly prohibited from: (a) creating a website or mobile application co-branded with the Site or reproducing all or part of the Site; (b) licensing or reselling any data obtained from the Site; (c) using or allowing a third party to use, for commercial purposes or as part of systematic collection or reproduction, any data obtained from the Site; (d) using any data obtained to provide, either directly or through a third party, any service or product not authorized by these Terms; or (e) disassembling, decompiling, reverse engineering, modifying, or otherwise altering any data obtained without our approval, which approval may be withheld at our sole discretion.
Unless prior written authorization has been obtained, accessing the Site or extracting data or content from it through automated means is prohibited, including through robots, spiders, data harvesters (scrapers), scripts, headless browsers, software agents, or systematic calls to the Site's interfaces. It is also prohibited to circumvent, disable, or interfere with any technical measure limiting or regulating access to the Site, including the robots.txt file, rate limits, anti-bot measures, and authentication mechanisms.
The Dealership expressly reserves all rights in and to the Site, its content, and its data for purposes of text and data mining and the development, training, improvement, or operation of any artificial intelligence system or machine-learning model. Any use of the Site, its content, or its data for such purposes is prohibited without a prior written agreement.
This section does not prohibit indexing of the Site by a general-purpose search engine that complies with the directives contained in the robots.txt file and limits its activities to referencing the Site while directing users to its original address.
In the event of a violation of this section, the Dealership may, without prior notice and without limiting any of its other rights or remedies, suspend or block access to the Site, including by blocking IP addresses, and require the immediate cessation of any use of extracted data and its destruction. You acknowledge that such a violation may cause serious and irreparable harm, justifying the issuance of an injunction in addition to any other remedy. The rights and remedies provided herein are cumulative.
The Dealership has authorized Groupe Ouellet Inc. to exercise, on its behalf, the remedies arising from this section.
All content on the Site, including, without limitation, text, designs, graphics, interfaces, code, and the selection and arrangement of content (the "Content"), belongs to the Dealership, Groupe Ouellet Inc., or the identified rights holder and is protected by copyright laws. Copying, reproducing, publishing, redistributing, transmitting, or otherwise using such Content without prior written consent is strictly prohibited.
In addition, all registered and unregistered trademarks and trade names (the "Marks") contained on the Site belong to their respective owners, who have validly granted the Dealership the right and authorization to use them. Manufacturers' Marks are used in accordance with the applicable dealership agreements.
It is our policy to enforce our intellectual property rights to the fullest extent permitted by law. Nothing on this Site shall be construed as granting, by implication or otherwise, any licence or intellectual property right without express written authorization.
To ensure a respectful and secure digital environment, any use of the communication services made available on the Site must comply with these Terms. You remain solely responsible for your Contributions and agree to ensure that they comply with these Terms at all times.
If you send us notes or messages, propose ideas, make suggestions, submit concepts, or provide other communications through the Site, you grant us a non-exclusive, royalty-free, transferable, worldwide licence, valid for the duration of the applicable protection, authorizing us to use, reproduce, modify, adapt, publish, and display such content, including for promotional and advertising purposes. To the extent permitted by law, you waive the right to assert your moral rights in connection with the exercise of this licence.
Notwithstanding the foregoing, a person's image, including any photograph or video through which the person may be identified, will only be used for commercial purposes, including advertising or promotional purposes, after obtaining the consent of the person concerned, collected separately from the licence provided for in this section.
We may provide links to other websites operated by third parties, including those of the manufacturers whose products we distribute and other dealerships within the Groupe Ouellet network. We have no control over these websites, including their data collection and privacy practices, which are separate from and independent of ours.
Accordingly, we cannot be held responsible for and make no representations or warranties regarding the accuracy, timeliness, or completeness of the information contained on third-party websites.
Subject to our dealership agreements and our affiliation with the Groupe Ouellet network, the inclusion of links on our Site should not be interpreted as indicating that we sponsor, approve, or are legally authorized to use any trademarks, trade names, service marks, designs, logos, symbols, or other protected elements displayed on such websites.
You may send us any comments regarding links appearing on our website by writing to service@lapointeauto.com.
Information that we may collect about you in connection with your use of the Site is governed by these Terms and the Policy.
You are responsible for maintaining the confidentiality of your account and the password associated with it. You agree to immediately notify the Dealership of any unauthorized use of your account or any security breach of which you become aware.
If the confidentiality of this information is compromised, please notify our customer service department as soon as possible to help prevent potential fraudulent use of your identity.
Reservation Regarding Consumer Rights. The limitations and exclusions of liability set out in this section apply to the extent permitted by applicable laws. Nothing in these Terms is intended to exclude, limit, or modify any rights enjoyed by consumers under applicable public-order legislation, including the Consumer Protection Act (CQLR, c. P-40.1). The legal warranties and other protections provided by that Act remain fully applicable and prevail over any inconsistent provision of these Terms.
Accuracy of Information. The Dealership makes reasonable efforts to ensure that the information published on the Site is accurate, complete, and up to date. However, errors, omissions, inaccuracies, or delays in updating information may occur. Product or service features, descriptions, prices, photographs, illustrations, and specifications may be changed without prior notice. This paragraph does not limit the Dealership's obligations regarding advertised prices: any price advertised on the Site for goods or services offered to a consumer corresponds to the total amount the consumer will be required to pay, excluding sales taxes. In the event of a discrepancy between information displayed on the Site and the manufacturer's official documentation, the latter shall prevail.
Site Provided "As Is." Subject to the rights granted to you under applicable laws, the Site, its content, features, services, and information accessible through it are provided "as is" and "as available." The Dealership does not warrant that the Site will be available at all times, uninterrupted, error-free, or free from technical failures, nor that the Site, its servers, or associated electronic communications will be free from viruses, malware, or other harmful components.
Limitation of Liability. To the extent permitted by applicable laws and subject to mandatory consumer rights, the Dealership shall not be liable for indirect, special, incidental, consequential, or punitive damages, or for any loss of revenue, profits, data, business opportunities, or anticipated savings arising from the use of, inability to use, or reliance upon the Site or its content. However, nothing in these Terms shall exclude or limit the Dealership's liability where such exclusion or limitation is prohibited by law, including under the Consumer Protection Act or article 1474 of the Civil Code of Québec.
Transactions Conducted Through the Site. Where the Site allows for the reservation or purchase of products or services, specific terms and conditions may apply and must be reviewed before completing any transaction. Any transaction entered into with a consumer remains subject to applicable laws, including the Consumer Protection Act and the rules governing distance contracts. The legal warranties provided by that Act apply notwithstanding any provision to the contrary.
These Terms are governed by the laws applicable in the Province of Québec. This provision does not apply to consumers: consumers may exercise their remedies before the court of the district of their domicile, and any action brought against them must be instituted there, in accordance with the Code of Civil Procedure.
If any provision of these Terms is found to be invalid by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions. The invalid provision shall be severed from the remaining provisions, which shall continue in full force and effect.
If you disagree with the provisions of these Terms, you may stop using the Site at any time. This provision does not limit or exclude any remedies available to you under applicable public-order legislation. These Terms were drafted in French. A version in another language may be made available for convenience, in accordance with the Charter of the French Language. In the event of any discrepancy, the French version shall prevail to the extent permitted by law.
